Terms
Draft · October 2026 · requires operator and legal review before use
These terms apply to software development services provided by [missing: legal name of operator] (“MOGUL”, “we”) to customers (“you”). The individual quote you accept takes precedence over these general terms.
1. Individual quotes
Every project is quoted individually. Prices on social media or this website are examples, not offers. A contract is formed only when you accept a written quote and we confirm it.
2. Scope
The quote lists the agreed features, supported signal sources, integrations, delivery estimate and price. Anything not listed is out of scope. Changes after acceptance are quoted separately.
3. Payment
50% of the agreed price is due on acceptance as an advance payment. Development starts once it is received. The remaining 50% is due on delivery. Accepted payment methods are stated in the quote: [to do: accepted payment methods and invoicing details].
4. Delivery and acceptance
Delivery dates are estimates unless the quote explicitly marks a date as binding. After delivery you have [to do: number of days] days to report deviations from the agreed scope; we fix those at no extra cost. The delivery counts as accepted if no such deviation is reported within that period or once you use it for live trading.
5. Supported functionality and custom development
“Standard” functionality means components we have built before. New sources, venues, strategies or logic are custom development, scoped and priced separately. We only integrate data sources you are legitimately entitled to access.
6. Intellectual property and licence
Unless the quote says otherwise, you receive a non-exclusive, non-transferable licence to use the delivered software for your own trading. Resale, sublicensing or redistribution requires our written consent. We may reuse general, non-customer-specific components in other projects; your configuration and strategy parameters stay confidential.
7. Warranty and support
We warrant that the delivery matches the agreed scope at the time of delivery. Statutory warranty rights remain unaffected. Changes by third parties (Solana, DEXs, RPC providers, Telegram, APIs) can break functionality later; adapting to them is paid support unless agreed otherwise. Included support period: [to do: support period, if any].
8. Third-party costs
Servers, RPC providers, APIs, transaction and priority fees and similar costs are not included and are paid by you directly to the provider.
9. Trading risk
We build software; we do not trade for you and give no investment advice. We do not guarantee any trading result. Trading losses, failed or delayed transactions and losses from market events are your risk. See the Risk Disclosure.
10. Your security responsibilities
You are responsible for the security of your devices, accounts, wallets and keys, for rotating credentials after handover and for funding the trading wallet only with amounts you can afford to lose. See Security.
11. Liability
[to do: liability clause — must be drafted by a lawyer (consumer vs. business customers, German law)]
12. Consumers
[to do: right of withdrawal information for consumers (Widerrufsbelehrung) — legal review required]
13. Final provisions
[to do: governing law, place of jurisdiction, severability]
